ProximaXR Terms and Conditions

1. Introduction

Welcome to ProximaXR.

ProximaXR is a spatial real estate platform that enables approved agencies and agents to upload, manage, and publish immersive 3D representations of real-world spaces, including residential properties, commercial spaces, event venues, and other eligible locations.

By accessing or using ProximaXR, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must not access or use the platform.

2. Eligibility

ProximaXR is currently intended for approved real estate agencies and authorized agents.

To access agency functionality, users must:

* Submit a valid agency application.

* Provide accurate information.

* Provide requested verification documents.

* Receive approval from ProximaXR moderators.

ProximaXR reserves the right to approve, deny, suspend, or revoke access at its sole discretion.

3. Agency Responsibilities

Agencies are responsible for:

* The accuracy of all listings.

* The conduct of agents under their organization.

* Maintaining secure access credentials.

* Ensuring uploaded content complies with applicable laws and regulations.

Agencies may authorize agents to market properties they do not own provided they have the legal authority or permission to do so.

4. Listing Accuracy

Agencies and agents are solely responsible for the accuracy of:

* Property descriptions

* Dimensions

* Amenities

* Availability status

* Images

* 3D scans

* Measurements

* Points of Interest (POIs)

ProximaXR does not verify the accuracy of listing information and does not guarantee that any listing accurately reflects the current condition, dimensions, ownership, availability, or suitability of any property.

Users should independently verify all information before making decisions based on platform content.

5. Prohibited Content

The following are strictly prohibited:

* Fake listings

* Fraudulent listings

* Misleading property information

* Manipulated measurements

* Deliberately altered dimensions

* Unauthorized scans

* Copyright infringement

* Uploading content without proper rights or authorization

* Illegal, harmful, or deceptive content

ProximaXR may immediately remove any content that violates these rules.

6. Moderation Rights

ProximaXR reserves the right to:

* Review uploaded content

* Reject listings

* Remove listings

* Suspend accounts

* Revoke agency approvals

* Terminate accounts

without prior notice where necessary.

Reasons may include but are not limited to:

* Poor scan quality

* Misleading content

* Copyright concerns

* Fraudulent activity

* Platform abuse

* Violation of these Terms

7. Subscription Plans

Certain platform features require an active paid subscription.

Subscription benefits, listing limits, storage limits, and available features are determined by the agency's selected plan.

ProximaXR may update subscription pricing, limits, or features at any time.

8. Payments and Refunds

Subscription fees are billed monthly unless otherwise stated.

All payments are non-refundable.

Failure to maintain an active subscription may result in restricted access to certain platform features.

9. Ownership of Content

Agencies retain ownership of:

* Uploaded scans

* Listing content

* Images

* Property information

By uploading content to ProximaXR, agencies grant ProximaXR a non-exclusive license to:

* Host

* Display

* Process

* Publish

* Distribute

such content as required for operation of the platform.

10. Marketing Usage Rights

By default, agencies grant ProximaXR permission to use uploaded content, scans, screenshots, listing materials, and promotional assets for:

* Marketing

* Demonstrations

* Presentations

* Investor materials

* Educational materials

* Platform promotion

Agencies on eligible paid plans may opt out of marketing usage through available platform controls.

11. Account Suspension and Termination

ProximaXR may suspend or terminate any account for violations of these Terms.

When an agency account is terminated:

* All associated agents may be removed.

* All associated listings may be removed.

* All associated scans may be removed.

* Associated platform data may be permanently deleted.

When an agent account is terminated:

* Associated listings may be permanently removed.

Deleted data may not be recoverable.

12. Platform Availability

ProximaXR strives to maintain reliable service but does not guarantee uninterrupted access.

The platform may experience:

* Maintenance periods

* Updates

* Technical failures

* Service interruptions

without prior notice.

13. Future Commerce Features

ProximaXR may introduce product purchasing, furniture placement, commercial integrations, and third-party storefront features in the future.

Where purchases involve third-party vendors, ProximaXR may act solely as a facilitator and shall not be responsible for:

* Product quality

* Delivery issues

* Warranties

* Vendor disputes

* Third-party transactions

Additional terms may apply to future commerce features.

14. Limitation of Liability

To the maximum extent permitted by law, ProximaXR shall not be liable for:

* Property disputes

* Listing inaccuracies

* Measurement errors

* Financial losses

* Missed opportunities

* Business interruptions

* Data loss

* Third-party actions

* Reliance on listing information

Users assume all risks associated with decisions made using information available through the platform.

15. Indemnification

Agencies and agents agree to indemnify and hold harmless ProximaXR, its owners, moderators, employees, contractors, and partners from any claims, losses, liabilities, damages, costs, or legal expenses arising from:

* Uploaded content

* Property listings

* Violations of law

* Violations of these Terms

* Unauthorized use of the platform

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

17. Dispute Resolution

Before initiating formal legal proceedings, parties agree to attempt good-faith negotiation and mediation.

Where disputes cannot be resolved amicably, such disputes shall be subject to the jurisdiction of competent courts within Nigeria.

18. Changes to These Terms

ProximaXR may update these Terms at any time.

Continued use of the platform after updates constitutes acceptance of the revised Terms.
